This Agreement is dated ______________________ . The undersigned (also known as "Client"), hereby appoints Patterson-Woods & Associates, L.L.C., ("Broker") as the Client's sole broker and grants Broker the exclusive right to represent the Client in order to facilitate and coordinate efforts to locate new facilities for lease or purchase. This Exclusive Authorization shall commence on the date of this Agreement and terminates at midnight, _____________________________ .
Broker agrees to use its best efforts to locate a facility satisfactory to the Client. Broker's service will include solicitation, screening and analysis of locations and, if Broker deems necessary, the solicitation of other real estate brokers. Broker will use its best efforts to obtain complete details on all contemplated, and/or available locations which, in Broker's opinion, will be the most suitable for the undersigned's needs. Broker is (___) is not (___) authorized to submit the undersigned's name to the landlords or sellers and their agents as a prospect.
The Client, will, in turn, refer all inquiries and offerings received by the Client, whether from principles, other brokers, agents or any other person to Broker. All negotiations shall be conducted solely by Broker and under Broker's direction unless the Client shall direct otherwise. The final selection and all terms are subject to the sole approval of the Client. Broker will look only to the Seller or Landlord, as the case may be, for the Broker's commission or fee unless the Seller or Landlord have no prearranged agreement with Broker and or they refuse to pay Broker, in which case the Client agrees to pay Broker a fee equal to _________________________________________________ upon possession of the property or transfer of title to the property. The Client will use its best efforts to protect Broker receiving its compensation.
The Client will honor this Agreement for a period of one hundred and eighty (180) days following the termination date of this Agreement as to any locations submitted to the Client during the term of this Agreement.
The Client hereby acknowledges receipt of a copy of this Agreement. By signing this Agreement Client understands and agrees to the terms of this Agreement.
